Code Of Conduct

Summarized below is a “Code of Conduct” containing policies, rules, and expectations for all employees, members, vendors and guests who work at, use, or otherwise enter into the Lynx Fitness Club premises (the “Club”). This Code of Conduct applies to all members and guests of Lynx Fitness Club, Boston Park Plaza Hotel Guests, employees, contractors/vendors and all other entrants into the facility (collectively “Club Member(s) & Guest(s)”). This Code of Conduct is also referenced in Section 3 of the Membership Agreement and other Lynx services agreements that are signed upon joining and using the club. Club Members & Guests are responsible for complying with all Lynx policies, including, without limitation, those outlined in this document, and Lynx reserves the right to cancel, revoke, or suspend any membership or right to use the Club for any violation of this Code of Conduct or other Lynx Policies.

ACCESSING THE CLUB

Check-In: Club Members & Guests are required to check in at the Front Desk upon entry to the Club. Inmorder to access and use the Club, they must display their club-issued key fob, mobile app barcode, or other form of identification allowed by Lynx. Those that leave and re-enter the Club will need to check in with the Front Desk upon re-entry.

Identification: Lynx reserves the right to require Club Members & Guests to maintain a photo ID or copy of their photo ID on file with Lynx in order to verify age and identity prior to entering the Club. A day pass guest or guest of a member will be required to leave an acceptable form of identification at the Front Desk during their visit to the Club.

Good Standing: Lynx reserves the right to prohibit anyone from entering and/or otherwise using the Club if such person has any outstanding past-due amounts payable to Lynx or if their Membership is otherwise not in good standing.

Guests: Each guest brought by a Member to the Club or otherwise requesting access to the Club will be charged a “guest fee” to either the Member’s or the guest’s payment account. Some members may receive a certain number of “free” guest pass credits upon signup which have a specified expiration date. Member guests must be accompanied by and are the responsibility of the Member at all times while in the Club. All guests will be required to check in at the Front Desk, present proper photo identification, and sign a Guest Waiver in order to access and use the Club. Guests must comply with all applicable Lynx Policies while accessing and using the Club including those written in this Code of Conduct. Lynx reserves the right to, in its discretion, (1) limit the hours available to guests; (2) limit the number of times

any one individual may access Lynx; and (3) prevent any individual from accessing Lynx as a guest.

USING THE CLUB

Club Members & Guests Conduct: Club Members & Guests are expected to act in a respectful and socially acceptable manner while using the Club and to be mindful of other individuals’ physical and personal space. Club Members & Guests may not engage in behavior or conduct that Lynx, in its sole discretion, considers unruly or inappropriate, including, without limitation harassing, badgering, antagonizing, taunting, threatening, abusing, touching, or otherwise acting in an aggressive, unsportsmanlike, indecent or inappropriate manner towards any other member, guest, employee, or other individual.

Lynx reserves the right to remove Club Members & Guests from the Club and/or revoke, cancel, suspend, or otherwise limit their membership, and/or notify law enforcement authorities if they engage in any conduct or behavior that Lynx considers inappropriate, indecent, unsafe, unlawful or otherwise in violation of Lynx Policies. Sexual, racial, physical or any other assault or harrassment that is considered “zero tolerance” will result in immediate expulsion from the Club and revocation of future access in Lynx’s sole discretion. While in the golf lounge, persons of legal drinking age are permitted to consume alcoholic beverages during specified hours per Lynx policies and state law. Club Members & Guests are expected to drink responsibly and Lynx will use discretion continuing to serve any member or gest that has exceed the drinking limit. Being or acting in a drunk and disorderly manner is not permitted in any situation and will result in immediate removal from the Club. Such activity may also result in cancellation of membership and/or revoked access to the Club permanently. Lynx has a zero-tolerance policy related to any misbehavior of employees, contractors, members, guests or other entrants into the club including, without limitation harassing, badgering, antagonizing, taunting, threatening, abusing, touching, or otherwise acting in an aggressive, unsportsmanlike, indecent or inappropriate manner.

No Cell Phone and Camera Use in Private Areas: Using cell phones, cameras, or any other recording devices in Lynx locker rooms and other private spaces is strictly forbidden and may result in removal from the Club and revocation of future use and access privileges.'

Other Cell Phone and Camera Use: As a courtesy to other members, Club Members & Guests may not speak on their cell phone, or utilize any video chat application, while on the Club floor unless specifically authorized by Lynx management. Club Members & Guests may take photos or videos in public areas of Club (including the Club floors and studios) solely for their personal use. They may not take photos or videos in the Club to promote their or any third party’s business, products, or services without Lynx management authorization. Use of any lighting, tripods or other such equipment is prohibited unless specifically permitted by Lynx management. Club Members & Guests are expected to be respectful of other members and may not intentionally film or take pictures of another individual without their

permission. If they post online or on social media a photo or video that was taken in the Club which violates the privacy of another individual, Lynx reserves the right to require Club Members & Guests to remove the post and delete such photo.

Lockers: Lockers and locker room amenities are provided solely for Club Members and Guests benefit and convenience. Club Members & Guests are responsible for locking their locker. Lynx will remove any articles left in a locker overnight unless they such overnight use is permitted by Lynx management or by agreement. Lockers may be rented for an additional, non-refundable fee, subject to additional terms and conditions outlined in the required Locker Rental Agreement. Lynx is not liable for any loss of or shrinkage or damage to Club Members & Guests’ items while being laundered through a Lynx-related laundry service (if applicable). The Lynx towel service is provided solely for Club Members & Guests benefit and convenience. Please be mindful of Lynx cleaning staff and properly return towels to their correct locations when finished with them.

Personal Property: Club Members & Guests should avoid bringing valuables into the Club if possible. To the maximum extent permitted by law, Lynx will not be liable for the loss or theft of, or damage to any personal property belonging to Club Members & Guests, including without limitation any items left in lockers, locker rooms, studios, the fitness floor, the golf lounge, or elsewhere in the Club.

Dress Code: Club Members & Guests are required to wear appropriate athletic attire and footwear when using the Club including while on the fitness floor, using fitness equipment, participating in any group fitness class or training session, or any activity. Lynx may deny access to the Club to any potential entrant if they do not wear proper attire and footwear, as determined in Lynx’s sole discretion. In certain group fitness classes, such as yoga, the instructor may allow Club Members & Guests to remove footwear for the class during participation.

Group Fitness Classes: Group fitness classes require advanced booking and reservation, and Club Members & Guests will not be permitted to participate in these classes unless they have properly booked and reserved their spot. Lynx may give away a reserved spot if an attendee is not in the class at class start time and there is a wait list. If booking online (including through our mobile app), Club Members & Guests may cancel a booked class up to three (3) hours before the class starts. If they do not cancel within this allotted time period or check in by the start of class, they will be considered as having “missed” their booked class. Club Members & Guests who miss three (3) bookings within a thirty (30) day period may be prohibited from booking classes online for a period of time determined by Management. Please avoid entering a class late or leaving a class early, as this is disruptive to other Club Members & Guests’ experience.

No Outside Trainers: Use of personal trainers who are not employed by Lynx is strictly prohibited at the Club. Club Members & Guests may not provide personal training services to, or receive personal training services from, any other members or guests.

Children: Children under eighteen (18) years of age are not permitted to use Club facilities, locker rooms and equipment, unless they are participating in the Top-Golf simulator offered by Lynx and are being supervised by an adult over the age of eighteen (18). A child’s parent or legal guardian will be required to sign a waiver and release form on behalf of themselves and their child before the child may participate in any activity at Lynx. While using the simulator, adult supervisors are strictly prohibited from leaving Club premises while their child is in the Club. Children must be accompanied by a parent or legal guardian at all times. Lynx reserves the right to, in its discretion, prohibit any child who is disruptive, unsupervised, sick, or otherwise interfering with the Club’s operations from participating in simulator programming.

Weapons: Firearms and other weapons are strictly prohibited from being brought into Club facilities without exception.

Service Animals and Pets: Service animals that are individually trained to work or perform tasks for individuals with disabilities (“Service Animals”) are permitted to accompany Club Members & Guests with disabilities to all areas of the Club. Lynx may ask Club Members & Guests to remove their Service Animal if, in Lynx’s sole discretion, the animal is unruly, out of control, not housebroken or poses a direct threat to the health or safety of others or if the animal’s behavior otherwise alters the nature of the Lynx’s business and the ability of other members and guests to use and enjoy the facilities. Lynx reserves the right to charge for any actual damage caused by a Service Animal. For the safety of our members and the animals, pets and “emotional support animals” are not permitted in any area of our Clubs.

REPORTING VIOLATIONS

If Club Members & Guests should learn of a potential or suspected violation of the code, they should promptly report the violation. They may do so by reporting the situation, orally or in writing and, if preferred, anonymously, to the General Manager(s). All reports of violations will be kept confidential except if otherwise required by law. All complaints will be reviewed and investigated and will result in a response that is deemed necessary and appropriate to the circumstances by Lynx Management. Individuals should be aware that in addition to any disciplinary action taken by the Company, violations of this Code of Conduct may require restitution and may lead to civil or criminal action against individuals

involved.

ENFORCING DISCIPLINARY STRIKE POLICY

For any violations of this Code of Conduct that are considered “zero-tolerance” by Lynx management, in its sole discretion, Lynx may afford Club Members & Guests a two (2) strike policy if any of the above policies are broken. The first strike will be a warning to a member or guest who may be unaware of a specific policy or violation. The second strike will result in expulsion and removal from the Club. Notwithstanding the forgoing, Lynx reserves the right to expel or otherwise restrict access and use to anyone any time in its sole discretion.
